1. About us

These Terms & Conditions ("Terms") are a binding agreement between you and Livetools ("Livetools", "we", "us") governing your access to and use of the Livetools website, applications, and related services (the "Service").

2. Acceptance

By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation. If you are using the Service as an individual, you confirm you are of legal age in your jurisdiction.

3. The Service

Livetools provides an operating system for live event promoters, including tools for events, lineups, financials, riders, marketing, and related workflows. We may add, change, or remove features over time.

4. Acceptable use

You must not misuse the Service. In particular, you agree not to:

  • use the Service for any unlawful, fraudulent, or harmful purpose;
  • send spam or unsolicited communications;
  • infringe the intellectual property or privacy rights of others;
  • upload malware, probe, scan, or otherwise interfere with the security or integrity of the Service;
  • scrape, reverse engineer, or resell the Service.

5. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and keep it up to date.

6. Intellectual property

Livetools and its licensors retain all right, title, and interest in and to the Service, including the software, documentation, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your plan and these Terms.

7. Your content

You retain ownership of the content you upload to the Service. You grant Livetools a limited licence to host, store, and process that content solely to operate and provide the Service to you.

8. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by the Paddle Checkout Buyer Terms and Paddle Refund Policy, in addition to our own Refund Policy.

Subscriptions renew automatically until cancelled. You can cancel at any time via the customer portal accessed from your billing page; access continues until the end of the paid period.

9. Service level

We work hard to keep the Service available, but we do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, all implied warranties (including merchantability and fitness for a particular purpose) are disclaimed.

10. Suspension and termination

We may suspend or terminate your access for: material breach of these Terms, non-payment, security or fraud risk, or repeated or serious violations of our policies. On termination, you may export your data within a reasonable window before it is deleted.

11. Liability

To the fullest extent permitted by law, Livetools' aggregate liability arising out of or in connection with the Service is capped at the fees paid by you in the 12 months preceding the event giving rise to the claim. We exclude liability for indirect, consequential, or special damages (including loss of profits, data, or goodwill). Nothing in these Terms limits liability for fraud, death, or personal injury where it cannot lawfully be excluded.

12. Indemnity

You agree to indemnify Livetools against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

13. Changes

We may update these Terms from time to time. Material changes will be notified through the Service or by email.

14. Governing law

These Terms are governed by the laws of the jurisdiction in which Livetools is established, and disputes are subject to the exclusive jurisdiction of its courts, unless mandatory local law provides otherwise.
